End User License Agreement
Please read this agreement before downloading or using iMagic Inventory Software.
IMPORTANT: READ CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THIS SOFTWARE.
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "Licensee") and iMagic Software ("Licensor") for the iMagic Inventory Software product, which includes computer software and associated documentation ("Software").
By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.
1. Grant of License
Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on the number of computers specified in the license purchased (1, 2, 3, or 4 PCs for the Standard Edition; up to 30 users for the SQL Server Edition).
2. Restrictions
Licensee shall not:
- Copy, modify, translate, or create derivative works of the Software;
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code;
- Sublicense, rent, lease, or lend the Software to any third party;
- Use the Software on more computers than permitted by the purchased license.
3. Ownership
The Software is licensed, not sold. Licensor retains all intellectual property rights in the Software. This Agreement does not transfer any ownership rights to Licensee.
4. Trial Version
A trial version of the Software is made available at no charge, limited to 10 uses. The trial version is fully functional but will cease to operate after 10 uses unless a valid license key is entered.
5. Updates
Licensees with a current annual subscription are entitled to updates released during the subscription period. Updates are subject to this Agreement unless accompanied by a separate license.
6. Support
Technical support is provided by email. Licensor will use reasonable efforts to respond to support requests within 24 hours on business days. Licensor does not guarantee resolution of all issues.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.
9. Refunds
A fully functional trial version is made available prior to purchase so Licensee can evaluate the Software. Because of this, refunds are not generally provided after purchase. Licensee is encouraged to test the trial thoroughly before purchasing.
10. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term. Upon termination, Licensee must destroy all copies of the Software.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor operates, without regard to conflict of law principles.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements, representations, and warranties relating to the subject matter hereof.
